PREFACE TO THE 2022 EDITION Recognizing the honor of serving with the distinguished members of the Commit tee, I can unequivocally report that the work manifested in this volume reflects the serious consideration of our primary charge (pun intended): to assist practitioners and courts in charging juries in civil cases. We have remained vigilant to developments in the law—both common law and statutory. Central to our mission and work is to assist by making challenging legal issues more accessible to practitioners who often during trial have many things on their minds other than a charge tailored to the case at hand. Among the major projects that have resulted in changes to this volume is the new substantial reorganization and updating of the contracts chapter (101). The goal here was simple: to organize the chapter in a more user-friendly manner by grouping ques tions, instructions, and comments. In our judgment, this will help both experienced practitioners with sophisticated appreciation for charge law and practice as well as our colleagues who do not yet have such experience in charge work. We express gratitude for the work done on prior volumes, because updating the chapter would not have been possible without the countless hours prior committees spent updating and revising this and the other chapters. In addition to the contracts reorganization, the employment subcommittee spent considerable effort and time in threading through challenging changes required by new legislation and harmonizing them with the long-standing guidance from the supreme court that federal employment laws should inform Texas employment law. Part of our work involved collaboration with other volumes and coordinating with Oversight. In addition to the close work with the Texas Pattern Jury Charges—Oil & Gas volume on parts of the contracts chapter, we appreciate and recognize the contri butions from those serving on other volumes on joint subcommittees. CHANGES IN THE 2022 EDITION The 2022 edition of Texas Pattern Jury Charges—Business, Consumer, Insurance & Employment includes the following changes from the 2020 edition: 1. Admonitory Instructions—Updated commentary on proximate cause to include new case law discussing aggregate level causation (100.13) 2. Contracts— a. Updated chapter in its entirety, including both a reorganization of the material and substantive updates. Charges have been renumbered throughout. A Committee Note at the beginning of the chapter explains the reorganization and includes disposition and derivation tables to clarify the renumbering. b. INTRODUCTION 1. P URPOSE OF P UBLICATION
The purpose of this volume, like those of the others in this series, is to assist the bench and bar in preparing the court’s charge in jury cases. It provides definitions, instructions, and questions needed to submit jury charges in the following cases: • contract cases, both common-law and UCC sale of goods, and including construc tion contracts and insurance contracts; • actions under the Texas Deceptive Trade Practices–Consumer Protection Act (DTPA) and the Texas Insurance Code; • actions against insurers for violation of the duty of good faith and fair dealing; • breach of fiduciary duty; • fraud, both common-law and statutory (Tex. Bus. & Com. Code § 27.01), negligent misrepresentation, and actions under the Uniform Fraudulent Transfer Act; • tortious interference with existing contracts and prospective contractual relations; • employment actions; • actions to hold shareholders personally liable for the liabilities of a corporation (“piercing the corporate veil”); • civil conspiracy; • defamation, business disparagement, and invasion of privacy; and • misappropriation of trade secrets. It also contains questions and comments pertaining to defenses to the above actions and sections on damages and preservation of charge error. The pattern charges are suggestions and guides to be used by a trial court if they are applicable and proper in a specific case. The Committee hopes that this volume will prove as worthy as have the earlier Texas Pattern Jury Charges volumes. 2. S COPE OF P ATTERN C HARGES The infinite combinations of possible facts in contract, consumer, employment, and other business cases make it impracticable for the Committee to offer questions suitable for every occasion. The Committee has tried to prepare charges to serve as guides for the usual litigation encountered in these types of cases. However, a charge should conform to the pleadings and evidence of a case, and occasions will arise for the use of questions and instructions not specifically addressed here. 3. U SE OF A CCEPTED P RECEDENTS Like its predecessors, this Committee has avoided recommending changes in the law and has based this material on what it perceives the present law to be. It has attempted to
